1. About these Terms

THYNKR SYSTEMS LTD is a company registered in England and Wales under company number 15306717, with its registered office at Office 2, 1st Floor, 73 Station Passage, London E18 1JL (“THYNKR”, “we”, “us” or “our”). GrowthPilot is a product of THYNKR.

These Terms of Service (“Terms”) govern access to and use of GrowthPilot, including the application at app.growthpilot.systems, its API and the public website at growthpilot.systems (together, the “Service”). They form a contract between THYNKR and the business or organisation that uses the Service (“Customer”, “you”).

If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms for it. The Service is provided for business use. It is not intended for consumers acting outside their trade, business or profession.

The Privacy Policy, Data Processing Agreement, Acceptable Use Policy, Refund & Cancellation Policy and Cookie Policy form part of these Terms.

2. The Service

GrowthPilot is an AI marketing operations platform. Depending on your plan and setup, it lets you:

  • connect marketing data sources and review performance evidence;
  • run Growth Audits, AI Keyword Research, AI Competitor Analysis and AI Pilot analysis;
  • create, review, approve and version marketing content;
  • hand off approved work through governed execution to destinations configured for your workspace;
  • manage clients and brands, actions, client reports and, for agencies, client invoices.

We develop the Service continuously. We may add, change or remove features, provided we do not materially reduce the core functionality of a paid plan during a billing period you have paid for.

3. Accounts and access

New accounts are currently opened by invitation. You must give accurate account information and keep it up to date.

Every sign-in uses a password and a second factor: a one-time code sent by email or, if you enable it, an authenticator app. You are responsible for keeping credentials and backup codes confidential, for the users you invite and for activity in your workspace. Tell us promptly at info@thynkrsystems.com if you suspect unauthorised access.

Workspace owners and administrators control who can access the workspace and with which role. Clients you manage as an agency do not receive GrowthPilot accounts.

4. Plans, fees and billing

Paid plans are monthly subscriptions at the prices shown on the pricing page in GBP, USD or EUR. Plans differ by limits such as the number of brands or projects, team members and monthly AI runs.

GrowthPilot subscription payments are processed by Stripe. Fees are charged in advance for each monthly period and renew automatically until cancelled. Any applicable tax is shown before you pay. We do not store full card numbers.

If a payment fails, the workspace may move to a payment-required state, in which existing data stays readable but new work is paused until payment is resolved.

We may change prices for future billing periods by giving at least 30 days’ notice. A change takes effect at your next renewal after the notice period, and you may cancel before then.

Cancellation and refunds are covered by the Refund & Cancellation Policy.

5. Complimentary agency access

We may grant an agency complimentary access to the Agency plan by invitation, for a period stated in the invitation. Complimentary access is not charged and is not linked to any payment method.

When complimentary access ends, your data is kept and remains readable, but creating or changing work is paused until access is renewed or converted to a paid plan. We may extend, convert or end complimentary access. Except where ending it is needed for security or a breach of these Terms, we will not end it before its stated expiry without reasonable notice.

6. AI features and your review

GrowthPilot uses our AI service, GrowthPilot Brain, which routes requests to an AI model provider (currently OpenAI). AI features produce analysis, research, recommendations and draft content.

AI output can be incomplete or wrong. GrowthPilot labels measured data separately from AI-generated analysis and does not supply metrics it cannot measure, such as search volume, keyword difficulty or competitor traffic, unless a connected provider supplies them. Even so, you must review AI output before relying on it.

You are responsible for content you approve, publish or send, for any external action you take or approve through the Service, and for checking that claims are accurate and lawful. Approval workflows support this review; they do not replace it.

GrowthPilot does not guarantee rankings, traffic, leads, revenue or any other marketing result.

7. Connected services and provider availability

You may connect third-party services, such as Google Search Console and Google Analytics 4. You must be authorised to connect each account. Connections request the narrowest access the provider offers, are used to read data, and can be disconnected at any time. Your use of a third-party service remains subject to that provider’s terms.

Google Search Console and Google Analytics 4 are available. Google Ads, Meta Ads and LinkedIn Ads connectors depend on provider approvals and on the readiness of the relevant advertising account, and may be unavailable. GrowthPilot does not create, change or pause advertising campaigns, budgets or bids.

Third-party services can change or withdraw their APIs. We are not responsible for their availability, but we will take reasonable steps to keep supported connectors working.

8. Governed execution

Approved content can be handed off to destinations configured for your workspace. Each handoff requires a current approval of the exact version, is signed, has bounded retries and produces a receipt and audit record. A handoff does not by itself publish content anywhere outside the configured destination.

You remain responsible for what is executed in your workspace and for the configured destinations you ask us to set up.

9. Agency client invoicing

Agencies can create, send and track invoices to their own clients. Those invoices are the agency’s records. The agency is the seller and is responsible for each invoice’s content, prices, tax treatment, payment terms, collection and compliance with applicable law.

Clients pay the agency directly, for example by bank transfer or through the agency’s own Stripe payment link. GrowthPilot never receives, holds, settles or pays out an agency’s client funds and is not a party to the agency’s contract with its client. Payment status changes only when the agency records a payment.

Invoice emails are sent through our email provider with the agency as Reply-To. Delivery and engagement events, including “opened” where the email provider reports it, are signals and not proof of receipt or reading.

10. Your data

You keep all rights in the data and content you put into the Service or connect to it (“Customer Data”). You give THYNKR the rights needed to host, process, transmit and display Customer Data to provide, secure and support the Service.

Where THYNKR processes personal data within Customer Data on your behalf, the Data Processing Agreement applies. How THYNKR handles personal data as controller is described in the Privacy Policy.

THYNKR does not use Customer Data to train AI models. AI requests are sent to our model provider with storage disabled.

11. Acceptable use

You must use the Service in line with the Acceptable Use Policy and applicable law, including data-protection, marketing, consumer-protection and advertising rules.

12. Intellectual property

THYNKR and its licensors own the Service, the GrowthPilot name and marks, and all related software and materials. Subject to these Terms, you receive a non-exclusive, non-transferable right to use the Service during your subscription or access period.

Content you create with the Service, including approved AI-assisted drafts, belongs to you, subject to any third-party rights in material you supply. Third-party product names and logos shown on the website identify integrations only and do not imply partnership or endorsement.

If you send us feedback, we may use it without obligation to you.

13. Confidentiality

Each party will keep the other’s non-public information confidential and use it only for the purposes of these Terms, except where disclosure is required by law or the information is already public through no fault of the receiving party.

14. Availability, support and backups

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Planned maintenance, provider outages, security incidents or events outside our reasonable control may affect availability.

We keep encrypted off-site backups of the production database and test restoring them. Backups protect the Service as a whole; they are not a per-customer archive. You should keep your own copies of anything you must retain.

15. Suspension

We may suspend an account, user or workspace, or restrict a feature, where reasonably necessary to protect the Service, other customers or third parties; because of a security risk; for a material breach of these Terms or the Acceptable Use Policy; for unpaid fees; or where law requires. Where practicable and safe, we will give notice and an opportunity to remedy. Suspension of a user signs that user out of every session.

16. Cancellation and termination

You may cancel a paid subscription at any time. Cancellation takes effect at the end of the current billing period, as described in the Refund & Cancellation Policy.

Either party may terminate these Terms by written notice if the other materially breaches them and does not remedy the breach within 14 days of notice. We may terminate immediately for serious illegal, fraudulent or security-threatening activity.

After cancellation or termination, your workspace data is kept, and remains readable while your account is accessible, until you ask us to delete it or we delete it under the Privacy Policy and Data Processing Agreement. You can ask us at any time to export or delete your workspace data.

17. Warranties

We will provide the Service with reasonable skill and care. Except as stated in these Terms and to the extent permitted by law, the Service is provided without other warranties, including fitness for a particular purpose or that AI output is accurate or complete.

18. Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Subject to that, neither party is liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill or business opportunity.

Subject to that, each party’s total liability arising out of or in connection with these Terms in any 12-month period is limited to the fees paid or payable by the Customer for the Service in that period, or £100 where no fees were payable, such as during complimentary access. This limit does not apply to the Customer’s obligation to pay fees.

19. Your responsibility for third-party claims

You will compensate THYNKR for reasonable losses arising from a third-party claim caused by Customer Data you were not entitled to use, accounts you connected without authorisation, or content you approved, published or sent in breach of law or these Terms.

20. Changes to these Terms

We may update these Terms. We will give at least 30 days’ notice of a material change by email or in the Service. If you do not agree, you may cancel before the change takes effect. The version and dates at the top of this page identify the current Terms.

21. General

Neither party is liable for delay caused by events outside its reasonable control. You may not assign these Terms without our consent; we may assign them to a successor to the Service on notice. These Terms are the entire agreement about their subject matter. If a provision is unenforceable, the rest remains in force. Failure to enforce a provision is not a waiver. A person who is not a party has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce these Terms.

These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
